Thomson Geer has advised ASX-listed Australian gold explorer and aspiring developer Astral Resources on its takeover bid to acquire fellow gold, lithium and nickel explorer Maximus Resources for scrip consideration valuing Maximus Resources at approximately A$31 million.
Thomson Geer advised Astral on its initial acquisition of 19.9 per cent of Maximus and then the remainder of the company via an off market takeover bid recommended by the Maximus Board.
The acquisition creates a leading Western Australia-focused gold developer, bringing together Astral's flagship Mandilla project with the nearby Feysville project and the Spargoville gold project controlled by Maximus.
Thomson Geer assisted with all aspects of the transaction including due diligence on Maximus, transaction structuring and strategic advice on its initial acquisition and deal protection for the transaction.
