Thomson Geer advises Critica Limited on A$8 million capital raising

Thomson Geer has advised Australian-based mineral exploration company, Critica Limited (ASX: CRI) on its A$8 million placement to institutional and sophisticated investors to accelerate development of the Company’s flagship Jupiter rare earths project in Western Australia.

The two tranche placement includes director participation (subject to shareholder approval), underscoring Board alignment with shareholder interests.

The project is Australia's largest and highest-grade clay-hosted rare earth deposit rich in magnet rare earths, critical to electric vehicles, renewables, AI/data centres and defence-related needs.

Thomson Geer advised Critica on the capital raising structure, prepared and reviewed placement documentation, coordinated with joint lead managers Bell Potter Securities Limited and Taylor Collison Limited, and advised on disclosure and compliance matters, including shareholder approval.

Proceeds from the placement will fully fund key work programs at Jupiter, including the Scoping Study, resource-upgrade drilling, metallurgical pilot programs and offtake engagement.

Thomson Geer Partner Scott Gibson led the team and said: “This raise positions Critica to move quickly on the next phase of development at Jupiter while maintaining strong governance and compliance settings. It’s a well-structured transaction that brings in supportive capital and clear momentum for the project.”

The team also included Senior Associate Chris Seotis and Lawyer Charlie Mitchell.
