As a full service commercial firm, our Capital Markets team works closely with our Corporate, Mergers and Acquisitions and Tax teams to provide comprehensive advice and solutions to clients including listed and unlisted companies, financial advisors, investors and underwriters.
Debt Capital Markets
Our debt capital markets team works with existing and new clients seeking to access wholesale debt in the domestic market as a viable alternative to the traditional commercial banks lending market. We work predominately across the following debt market products:
- Private placement
- High Yield; and
- Hybrid debt.
These products comprise fixed, variable and step-up features and span secured, unsecured and subordinated debt instruments including capital notes, convertible notes and bonds.
Our team is made up of partners, senior associates, and associates principally advising high growth issuers on debt capital market transactions.
Equity Capital Markets
We work with issuers, controlling shareholders, and underwriters covering the field of equity capital markets including structurally complex initial public offerings, and secondary fundraisings comprising share purchase plans, institutional placements and entitlement offers (including accelerated entitlement offers), block trades and capital management transactions comprising dividend reinvestment plans, and capital reductions.
Our team works with local and international business organisations seeking to raise capital to fund organic growth, debt retirement (as part of their capital management programs), and acquisition financing.
Regulatory Compliance
Our team appreciates the importance to board and management of ensuring a compliance culture.
We work closely with boards and management teams to gain an understanding of the key compliance issue for their businesses to tailor our advice to address the compliance issues in the context in which they arise to ensure our advice is both reliable and relevant.
We advise regularly on directors' duties and liability, good governance practices including board composition and competency, governance policies, shareholder meeting and effective stakeholder management, and capital management programs.
