Thomson Geer advising Qoria on transformational A$3bn merger with Aura

February 2, 2026

Thomson Geer is advising valued client, Qoria Limited (ASX:QOR), on its transformational A$3 billion merger with US-based Aura Consolidated Group Inc., creating a global leader in digital safety products and solutions across home, school and work environments.

The transaction will be implemented by way of an Australian scheme of arrangement under which Aura will acquire 100 per cent of Qoria, with Qoria shareholders receiving equity in Aura via CHESS Depositary Interests. Aura will seek to list on the Australian Securities Exchange.

The merger brings together two highly complementary, mission-aligned platforms, combining Qoria’s global leadership in online safety and digital wellbeing for schools and families with Aura’s AI-driven consumer and enterprise online security solutions. The combined group is expected to benefit from enhanced global distribution, cross-selling opportunities and significant operational scale in a rapidly growing addressable market.

Thomson Geer is advising Qoria on all legal aspects of the transaction, working closely with management and advisers on the structure, regulatory approvals and transaction documentation.

Partner Hedley Roost, who led the Thomson Geer team, said the transaction marked a major milestone for the digital safety sector.

“This is a genuinely transformational transaction that brings together two global leaders in digital safety at a time when online trust, protection and wellbeing have never been more important,” Hedley said.

“We were pleased to be supporting our long-standing client, Qoria, on this complex, cross-border transaction that will deliver compelling strategic outcomes for shareholders and will position the combined group for long-term global growth.”

The Thomson Geer team also included Partner Sanushka Seomangal, Special Counsel Cameron Bill, Senior Associates Pari Sawale and Rebecca Gilbert, Associate Steven An and Lawyer James Ofosu-Asamoah.

Qoria is also being advised by Gibson Dunn as US counsel, Macfarlanes as UK counsel and Uría Menéndez as Spanish counsel. Corporate advisory support was provided by Azure Capital and Stifel.
