Thomson Geer advises Global Uranium and Enrichment on merger with Snow Lake Resources

Thomson Geer is pleased to have advised Global Uranium and Enrichment Limited (ASX: GUE; OTCQB: GUELF) on its proposed merger with Snow Lake Resources Ltd (NASDAQ: LITM), by way of schemes of arrangement.

Under the proposed schemes, Snow Lake will acquire 100 per cent of the fully paid ordinary shares of GUE that it does not already own and 100 per cent of the unlisted GUE options (ASX: GUEAR).

The transaction implies an equity value of approximately A$44.5 million for GUE, based on the closing price of GUE shares on 3 October 2025, and an estimated combined market capitalisation of US$76.7 million.

Thomson Geer assisted GUE with all aspects of the transaction including coordination of foreign counsel and preparing and negotiating all transaction documentation associated with the schemes of arrangement. Thomson Geer will continue to guide GUE throughout the approval and implementation phases of the merger.

The acquisition provides opportunities for consolidation of the existing 50/50 joint venture between GUE and Snow Lake on the Pine Ridge Uranium Project in Wyoming’s prolific Powder River Basin, enabling an expedited pathway to development and future production. The combination will create a leading US-focused uranium developer, supported by a multi-project portfolio across some of the world’s most prospective uranium districts.
