Thomson Geer advises Brennan Technology Group on strategic investment by Macquarie Principal Finance

Thomson Geer has advised Australia-based technology consulting and services firm Brennan Technology Group Pty Ltd and its founder David Stevens on the sale of a minority interest to Macquarie Principal Finance.

The firm also advised Brennan on the refinancing of its debt facilities with Macquarie Principal Finance, a subsidiary of Macquarie Group Ltd.

Thomson Geer negotiated all key transaction documents, including the share sale deed, shareholders deed, facility agreement and security deed, and provided clear, pragmatic guidance to keep a complex, multi-workstream transaction on track through to completion.

The transaction is an important milestone for Brennan, providing a platform for future growth. Brennan expects to pursue strategic acquisitions and continue investing in sovereign capabilities in AI, automation and cybersecurity.

The deal team was led by Corporate/M&A Partner David Schiavello, who said: "This transaction gives Brennan access to capital and the flexibility to accelerate its growth strategy—backing targeted acquisitions and continued investment in sovereign AI, automation and cybersecurity capabilities. Aligning the minority investment with a tailored refinancing package strengthens the balance sheet and positions Brennan to deliver even more for its customers."
