Domino’s Pizza Australia enters German market

Thomson Geer has advised ASX listed Domino’s Pizza Enterprises Ltd on its entry into the German market in a deal worth €82m ($A125m).  Germany is the fourth largest pizza market in the world.

As lead counsel, we provided strategic advice to the Board including governance and oversight, acquisition risk management and due diligence strategy and advice, negotiation and documentation on joint venture arrangements, store acquisitions and master franchise arrangements. 

Domino’s Pizza Enterprises Ltd now holds the Domino’s Pizza master franchise rights for Australia, New Zealand, Japan, France, Germany, the Netherlands and Belgium, which include five of the top 10 Domino’s Pizza markets in the world. 

Thomson Geer also advised Domino’s on its €35m acquisition of France-based Pizza Sprint in October 2015 and its purchase in 2013 of a 75% stake in Domino’s Pizza Japan from Bain Capital, for a total of $235 million.
